General Terms and Conditions

Welcome to Erphitea OÜ (“Erphitea”, “we”, “our”, “us”). These Terms and Conditions (“Terms”) govern:

your use of erphitea.com (the “Site”); and
any visualisation products or related services (the “Services”) that you purchase from Erphitea.

By visiting the Site or entering into any written agreement with us you agree to be bound by these Terms. If you disagree with any part, please refrain from using the Site or Services.

2 Definitions

Client – the natural or legal person that is using the Site or Services provided by Erphitea or has entered into a written agreement with Erphitea
Site – erphitea.com and its subpages.
Services – any arch-viz products, deliverables or related services offered by Erphitea.
Project Agreement / Order – the written contract that sets scope, schedule, fees and deliverables.
Product(s) – the final high-resolution stills, videos or other files delivered under an Order.
Asset(s) – models, textures, work files and other intermediate materials created or sourced to produce the Products.
Revision Round – a batch of client comments consolidated into one response to our preview.

3 Quotations & Ordering

1. Quotes are valid 30 days.

2. A 30 % non-refundable deposit confirms your slot; the balance is due on final approval.

3. Prices are in EUR, excl. VAT unless stated otherwise.

4. Your written acceptance of the quote (email reply is sufficient) creates a binding Project Agreement and incorporates these Terms.

Other:

If the Client requires Erphitea to refrain from working for competing bidders on the same underlying architectural project, the Client must request exclusivity in writing when asking for a quotation; any exclusivity fee and scope will be added to the Order.

4 Client responsibilities

You agree to:

supply accurate design files and reference material before the agreed start date;
consolidate feedback within the review window stated in the schedule;
secure all third-party rights for logos, likenesses or branding that must appear in the visuals.

Delays in either of the first two items automatically extend the delivery deadline.

5 Free Concept Render

Erphitea may refuse to provide the Free Concept Render service, in our sole discretion, to clients or their projects that it deems ineligible.

6 Scope changes & cancellations

Changes requested after the Project start date (e.g., camera angle, design update, extra output) will:

1. attract an additional fee quoted in advance; and

2. result in a new schedule reflecting our production queue.

If you cancel or postpone ≤ 3 days before the start date - or after work has begun - we will invoice work completed to date plus 15 % of the Order fee as a mobilisation cost.

7 Revisions

Each Product includes three Revision Rounds:
- feedback on chosen camera angles, clay model and light
- feedback after all materials, environment and details are added
- final feedback to polish any remaining details
Extras are billed at our hourly rate agreed in the Order:
- Major changes that deviate from the original project specification
- “Variant” renders (e.g. people removed, night-time version, camera angle changes)
- Any additional revision rounds beyond the three ones mentioned above
- Revisions are billed in whole hours. The minimum billable revision time is 1hr.

8 Delivery & formats

Products are supplied digitally via our secure Google Drive link.

Raw / editable files (e.g., PSD, Blender, Unreal) are not included unless licensed separately.

You have 3 business days after delivery to flag any technical errors (e.g., missing objects, colour banding). Otherwise the Order is deemed fulfilled and the final invoice becomes payable.

9 Payment terms

Standard term: 15 days from invoice date (unless the Order states otherwise).
Late payments accrue 0.05 % interest per day (capped at 18% per year).
We may suspend work or withhold final files until all overdue invoices are cleared.
All fees are exclusive of VAT and any other applicable taxes; the Client is responsible for payment of all such taxes.
Payments must be made in the agreed currency by bank transfer to the account details on our invoice.

10 Intellectual-property, licensing & attribution

Upon full payment we grant you a world-wide, perpetual, royalty-free, non-exclusive licence to use the final Products without any modifications for marketing, sales, planning and internal presentations. Unless otherwise agreed, Erphitea shall retain all other intellectual property rights.
Unless otherwise agreed in the Order, the Assets and Work Files used to produce the end Products are not part of the above license. You may request these to be licensed, in which case we will negotiate a separate license agreement and fee.
We reserve the right to display the finished Products in our portfolio on the Site and our social channels after your public release. If confidentiality is required, please request an NDA before the Project starts.
You are forbidden to use any Products or Assets displayed on the Site, our social channels and our other online platforms or otherwise obtained from us, directly or indirectly, unless they have been licensed to you by us. Failure to comply will result in a charge of 25000 EUR for damages per Product / Asset.
The Free Concept Render Service does not grant you a license to use the delivered Asset (Free Concept Render), as it is for preview purposes only.
Wherever commercially feasible you agree to credit “Erphitea” as the visualisation studio online and in press releases, competition boards or award entries that feature the Products.
Erphitea may use Products for internal training or development irrespective of any NDA.

11 Confidentiality & data protection

Each party must keep any non-public information received from the other strictly confidential, unless otherwise required by law. Project data are stored on secure servers in line with the EU GDPR. See our Privacy Policy for further details.

12 Limitation of liability

Erphitea’s total liability for any claim connected to an Order is limited to the fees you paid for that Order. We are not liable for indirect or consequential losses such as lost profit, lost tender opportunities or printing errors outside our control.

13 Indemnity

You agree to indemnify Erphitea against claims arising from:

materials you supplied;
your breach of these Terms; or
your misuse of the Products.

14 Force majeure

Neither party is liable for delays caused by events outside reasonable control (e.g., power outage, war, internet failure). Deadlines will shift by the period of disruption.

15 Termination

Either party may terminate an Order if the other materially breaches it and fails to cure within 10 days of written notice. Work completed up to termination is invoiced immediately.

Sections 6, 8-13 and 15 survive termination.

16 Governing law & jurisdiction

These Terms and any Order are governed by Czech law. Disputes shall be resolved by the courts of Prague, Czech Republic, unless mandatory EU consumer-protection rules require otherwise. Parties agree to make all efforts to resolve any disputes by direct negotiation first.

17 Other legal provisions

Notices under these Terms must be sent to info@erphitea.com (for us) or to your email address (for you)
A party’s failure or delay in enforcing any provision of these Terms is not a waiver of that provision or any other rights.
The Client shall not assign or transfer any rights or obligations under these Terms or any Project Agreement—including Orders or licences—without Erphitea’s prior written consent.
The Site and Services are provided ‘as is’ and Erphitea disclaims all warranties, express or implied, to the fullest extent permitted by law.
Erphitea is not responsible for any third-party content, links or services accessed through the Site.
We may update these Terms from time to time. Material changes will appear on this page and be emailed to clients with ongoing Projects. Continued use of the Site or Services indicates acceptance.
If any provision is held invalid or unenforceable, the remainder of the Terms stays in effect.
These Terms plus any other separate written agreements (Project Agreement, separate license agreement, etc.) comprise the entire understanding between the parties.
